1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the All Core platform, including the website at https://allcore.ai, the web application at https://app.allcore.ai, and any related services (collectively, the "Platform"), operated by All House Inc. ("All House," "we," "us," or "our").
By creating an account, accepting an invitation, or otherwise accessing the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you are using the Platform on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Platform.
2. Description of the Service
All Core is a deal workspace for running real-estate transactions. It provides a centralized document file (upload, fill, generate, and e-sign), a party roster with invitations, deal-scoped milestones and deadlines, messaging, Colorado (CREC) standard forms, an in-workspace electronic-signature engine, and an AI assistant. The Platform is designed so an agent can run and track a whole transaction even when the other parties never log in.
3. Eligibility and Accounts
3.1 Eligibility
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, will use the Platform only for lawful purposes, that any professional credentials you provide (license numbers, bar numbers, brokerage affiliations) are accurate and current, and that your use complies with all applicable laws and regulations, including those governing real estate practice in your jurisdiction.
3.2 Registration
To access the Platform, you must create an account or accept an invitation from another user. You agree to provide accurate, current, and complete information and to keep it up to date.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to use a strong, unique password, enable multi-factor authentication if offered, not share your credentials, and notify us immediately at info@myallhouse.com if you suspect unauthorized access. We are not liable for loss resulting from unauthorized access caused by your failure to maintain the security of your credentials.
3.4 Roles and Role-Scoped Access
The Platform provides different levels of access based on your assigned role (e.g., Agent, Broker, Attorney, Buyer, Seller, Escrow Officer, and others). Your permissions within a deal are determined by your role and the configuration set by the party who invited you. You agree not to attempt to access features, documents, or deal information outside the scope of your assigned role.
4. Acceptable Use
You agree to use the Platform only for its intended purpose — facilitating real-estate transactions — and in compliance with all applicable laws. You agree not to:
- Use the Platform for any unlawful purpose or in violation of any federal, state, or local law or regulation
- Upload, transmit, or store any content that is fraudulent, defamatory, obscene, harassing, or that infringes the intellectual property or privacy rights of any third party
- Attempt to gain unauthorized access to any portion of the Platform, other users' accounts, or our systems or networks
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
- Scrape, crawl, or otherwise extract data from the Platform using automated means without our express written consent
- Interfere with or disrupt the integrity or performance of the Platform or the data contained therein
- Impersonate any person or entity, or falsely represent your professional credentials, license status, or role in a transaction
- Use the Platform to transmit unsolicited commercial communications (spam)
- Introduce any viruses, worms, malware, or other harmful code
- Use the Platform to circumvent, violate, or assist in circumventing or violating any real estate laws, regulations, or fiduciary duties applicable to your profession
We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating their account and reporting to law enforcement.
5. Electronic Signatures and Electronic Records (ESIGN / UETA)
The Platform includes an electronic-signature engine. By using the e-signature features, you consent to transact electronically and to receive records electronically, and you agree to the following:
- Legal effect. Documents you execute electronically through the Platform, together with their audit trails, are intended to be legally binding and enforceable under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). Your electronic signature has the same legal effect as a handwritten signature.
- Consent to electronic records. You agree that agreements, disclosures, signed documents, and other records related to your transactions may be provided to you electronically through the Platform or by email.
- Right to paper copies. You have the right to request a paper copy of any record signed or provided electronically. To request one, contact us at info@myallhouse.com. We do not charge a fee for a reasonable number of copies.
- Withdrawing consent. You may withdraw your consent to transact electronically at any time by contacting us at info@myallhouse.com. Withdrawal is prospective only and does not affect the legal validity or enforceability of records already executed electronically before the withdrawal takes effect; withdrawing consent may also prevent you from continuing to use the e-signature features.
- Hardware and software requirements. To access and retain electronic records, you need a current, standard web browser, a valid email address, and the ability to view and save PDF documents.
6. User Content
6.1 Your Content
"User Content" means any documents, files, messages, form values, data, or other material you upload, submit, transmit, or store on the Platform. You retain all ownership rights in your User Content.
6.2 License to All House
By uploading User Content, you grant All House Inc. a limited, non-exclusive, royalty-free license to store, process, transmit, and display your User Content solely as necessary to provide the Platform to you and other authorized parties in your transactions. We do not use your User Content to train AI models or for advertising.
6.3 Your Responsibilities
You are solely responsible for your User Content. You represent and warrant that:
- You have all rights necessary to upload and share the User Content
- Your User Content does not violate any law, regulation, or third-party rights
- You have obtained any required consents before uploading personal information about third parties (such as clients or counterparties)
- Your User Content does not contain malware or other harmful code
6.4 Sensitive Information
The Platform is not designed for the storage or transmission of Social Security numbers, taxpayer identification numbers (other than in properly executed legal forms), medical records, or financial account numbers beyond what is required in standard real-estate forms. You upload such information at your own risk and should redact it where not strictly necessary.
7. Third-Party Services and Integrations
The Platform lets you sign in via Google, Microsoft, and LinkedIn, and lets you connect calendar providers (Google Calendar and Microsoft/Outlook). Your use of those services is governed by their own terms and privacy policies. All House is not responsible for the practices, content, or availability of any third-party services.
8. Intellectual Property
8.1 Platform Ownership
The Platform, including its design, features, code, trademarks, logos, and content created by All House (excluding User Content), is owned by All House Inc. and is protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right to use the All House or All Core name, logo, or trademarks without our prior written consent.
8.2 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant us the right to use that feedback without restriction or compensation to you.
9. Access and Availability
All House will make reasonable efforts to keep the Platform available and operational. However, we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Platform (or any part of it) at any time, with or without notice, for maintenance, updates, security reasons, or any other reason, and we will not be liable to you for any such modification, suspension, or discontinuation.
10. Pricing
As of the Effective Date, All Core is available on an invite-only basis at no charge, and there is no payment processing today. We reserve the right to introduce paid features, subscription plans, or other fees in the future. If we do, we will provide advance notice and an opportunity to review any updated terms before charges apply.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ALL HOUSE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND SECURITY. All House does not warrant that the Platform will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any results obtained will be accurate or reliable.
All Core is not a real-estate brokerage, a law firm, or a legal, tax, or financial advisor, and provides no such advice. The standard forms available on the Platform are Colorado Real Estate Commission (CREC) standard forms; nothing on the Platform is a substitute for advice from a licensed attorney, real-estate professional, or other qualified advisor. You are solely responsible for the decisions you make in connection with transactions conducted on the Platform.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL HOUSE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ALL HOUSE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ALL HOUSE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless All House Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles.
14.2 Informal Resolution
Before filing any formal claim, you agree to contact us at info@myallhouse.com and attempt to resolve the dispute informally. We will try to resolve it within 30 days.
14.3 Arbitration and Venue
If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings seated in Denver County, Colorado. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. For any matter not subject to arbitration, the exclusive venue shall be the state and federal courts located in Denver County, Colorado.
YOU AND ALL HOUSE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
14.4 Exceptions
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Colorado to prevent irreparable harm pending arbitration.
15. Termination
15.1 By You
You may close your account at any time by contacting us at info@myallhouse.com. Closing your account does not automatically delete data embedded in multi-party transactions where other authorized parties retain active access.
15.2 By All House
We may suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or harmful activity, prolonged inactivity, or business reasons.
15.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Sections of these Terms that by their nature should survive termination — including Sections 5, 6, 8, 11, 12, 13, and 14 — will survive.
16. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Platform before the effective date.
17. Miscellaneous
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and All House regarding the Platform and supersede all prior agreements.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
- Force Majeure: We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, government actions, or infrastructure failures.
